Ambassador Program Terms of Service

Welcome to the Ambassador Program (“Program”) of Foundation Devices, Inc. (“Foundation”), a Delaware corporation. By participating in the Program, you agree to the following terms and conditions:

 

1. Program Overview

(a) Purpose: The Program allows approved Ambassadors (“Ambassadors”) to promote Foundation products and receive rewards in the form of store credit for successful referrals.

(b) Signup: Interested individuals must complete the Ambassador application form on Foundation’s website. Foundation reserves the right to approve or reject any application at its sole discretion.

(c) Coupon Code: Upon approval, Ambassadors will receive a unique coupon code. This code can be shared to provide a discount on purchases to referred customers (“Referees”).

(d) Rewards: Ambassadors earn store credit based on the purchases made by Referees using the Ambassador’s coupon code. Store credit can be used for items available on Foundation’s website, including Bitcoin vouchers, exclusive swag, and more.

 

2. Eligibility

(a) Participants: The Program is open to individuals who are at least 18 years old and have completed the application process.

(b) Compliance: Ambassadors must comply with all applicable laws and regulations. Foundation reserves the right to terminate participation if these terms or any applicable laws are violated.

 

3. Program Details

(a) Coupon Code Use: The coupon code provided to Ambassadors is to be used by Referees for a discount on their purchases. Ambassadors may not use their own code for personal purchases.

(b) Reward Calculation: Rewards are calculated based on the net sales amount after discounts and before taxes and shipping. Details of the reward structure will be provided upon acceptance into the Program.

(c) Store Credit: Rewards are provided in the form of store credit, which is non-transferable and cannot be redeemed for cash. Store credit may be subject to expiration dates and usage restrictions as determined by Foundation.

(d) Commission Payments: Commissions are paid once a month. To receive a commission, the referred account must remain active for a minimum of 31 days. Payments are only sent for transactions that have been successfully completed. Transactions resulting in chargebacks or refunds will not be paid out.

(e) Self-Referral: Ambassadors cannot refer themselves and will not receive commissions on their own accounts.

 

4. Responsibilities

(a) Promotion: Ambassadors are responsible for promoting Foundation products ethically and accurately. False or misleading claims are prohibited.

(b) Code Sharing: Ambassadors must not spam or engage in aggressive marketing tactics. Coupon codes should be shared in a manner consistent with these terms.

(c) Compliance: Ambassadors must comply with guidelines on coupon and deal promotion and must not engage in unauthorized Pay Per Click (PPC) bidding. Specific rules for coupon and deal sites include:

  • (a) Not using misleading text on links, buttons, or images.
  • (b) Not bidding on terms implying Foundation coupons or discounts.
  • (c) Ensuring user interaction is required to set cookies or open merchant sites.
  • (d) Accurately presenting the availability of deals or coupons.

(d) Prohibited Actions: The following actions may lead to suspension or termination from the Program:

  • (a) Inappropriate advertisements (false claims, misleading hyperlinks, etc.).
  • (b) Spamming (mass email, mass newsgroup posting, etc.).
  • (c) Advertising on sites promoting illegal activities.
  • (d) Failure to disclose the ambassador relationship for promotions qualifying as endorsements.
  • (e) Offering rebates, coupons, or kickbacks from commissions.
  • (f) Self-referrals or fraudulent transactions.

 

5. Termination

(a) Termination by Foundation: Foundation may terminate or modify the Program at any time without notice. Foundation also reserves the right to terminate an Ambassador’s participation for any reason, including but not limited to misuse of coupon codes or violation of these terms.

(b) Termination by Ambassador: Ambassadors may withdraw from the Program at any time by notifying Foundation in writing.

 

6. Limitation of Liability

Foundation shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the Program. This includes losses due to tracking failures, database file loss, or interruptions.

 

7. Indemnification

Ambassadors shall indemnify and hold harmless Foundation and its subsidiaries, officers, directors, employees, licensees, successors, and assigns from any liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees) arising out of or related to any claims due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of the Ambassador.

 

8. Modification of Terms

Foundation reserves the right to modify these terms at any time. Continued participation in the Program following any changes constitutes acceptance of those changes.

 

9. Governing Law

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
