Limited Product Warranty
Effective date: May 21, 2026
This Limited Product Warranty (the "Warranty") is issued by Foundation Devices, Inc. ("Foundation," "Company," "we," "our," or "us") for eligible Foundation hardware products purchased directly from Foundation or from an authorized reseller.
This Warranty applies to Passport Prime hardware devices and to eligible Passport Core hardware devices purchased while Passport Core was offered by Foundation. Passport Core has been discontinued and is no longer sold by Foundation, but this Warranty continues to apply to eligible Passport Core purchases during the applicable Warranty Period.
This Warranty does not apply to software-only services, firmware features, third-party products, accessories not expressly covered by Foundation, consumables, digital assets, or non-Foundation products, except where expressly stated by Foundation in writing.
1. Warranty Coverage
Foundation warrants that covered hardware products will be free from defects in materials and workmanship under normal use for one year from the date of original purchase, unless a different warranty period is required by applicable law or expressly stated by Foundation in writing (the "Warranty Period").
If a covered defect arises during the Warranty Period and you submit a valid warranty claim, Foundation may, at its discretion:
- repair the product;
- replace the product with a new, refurbished, or functionally equivalent product;
- provide replacement parts or instructions;
- provide a refund or store credit where required or expressly approved by Foundation; or
- provide another remedy required by applicable law.
Any repaired or replaced product is covered only for the remainder of the original Warranty Period, unless applicable law requires otherwise.
2. Battery Coverage
For products that contain a battery, this Warranty covers battery defects in materials or workmanship during the Warranty Period. Normal battery aging, gradual capacity loss, reduced runtime, improper charging, storage damage, misuse, or damage caused by unauthorized repair or modification is not covered.
3. Exclusions
This Warranty does not cover defects, failures, or damage resulting from:
- accident, abuse, misuse, neglect, improper storage, improper handling, or improper installation;
- exposure to water, liquids, excessive heat, fire, extreme cold, humidity, dust, corrosive substances, impact, or electrical stress;
- use outside published documentation, instructions, specifications, or intended purpose;
- use with unsupported accessories, chargers, cables, software, firmware, apps, services, or third-party products;
- unauthorized opening, repair, modification, tampering, reverse engineering, or attempted bypass of security features;
- broken, removed, altered, or tampered security seals or tamper-evident features;
- normal cosmetic wear, scratches, dents, discoloration, or other cosmetic conditions that do not materially affect functionality;
- lost or stolen products;
- shipping damage after delivery or damage caused by carriers except to the extent required by law;
- failure to maintain backups, recovery phrases, seed phrases, PINs, passwords, private keys, or account credentials;
- loss of bitcoin, digital assets, wallets, keys, credentials, data, access, profits, or opportunities; or
- any cause external to the covered product.
Opening or modifying a covered product, or allowing anyone other than Foundation or its authorized service provider to open or modify it, may void this Warranty.
4. Software, Firmware, and Digital Assets
Software, firmware, open-source components, source-available components, applications, updates, services, documentation, and digital content are provided subject to applicable terms and licenses and are not covered by this hardware Warranty.
Foundation does not warrant that software, firmware, applications, services, or third-party integrations will be uninterrupted, error-free, compatible with all environments, or available indefinitely.
Foundation is not responsible for lost seed phrases, recovery phrases, private keys, PINs, passwords, wallet backups, digital assets, blockchain transactions, or third-party services. You are solely responsible for securing and backing up your wallet secrets and credentials.
5. Warranty Service
To request warranty service, contact Foundation support at hello@foundation.xyz and provide your order number or proof of purchase, product information, and a description of the issue. Foundation may request photos, diagnostic information, logs, shipping information, or other reasonable information needed to evaluate the claim.
Before sending any product to Foundation, you must receive authorization and instructions from Foundation. Products sent without authorization may be refused, returned, or delayed.
You are responsible for removing any personal information and ensuring you have backed up any wallet secrets, seed phrases, recovery phrases, private keys, PINs, passwords, or other credentials before submitting a product for service. Do not send seed phrases, recovery phrases, private keys, PINs, or passwords to Foundation.
6. Disclaimer
THIS WARRANTY IS THE EXCLUSIVE LIMITED WARRANTY PROVIDED BY FOUNDATION FOR COVERED HARDWARE PRODUCTS, EXCEPT TO THE EXTENT APPLICABLE LAW PROVIDES OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDATION DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
Some jurisdictions do not allow limitations on implied warranties, so some limitations may not apply to you.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDATION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, LOSS OF DIGITAL ASSETS, LOSS OF KEYS, LOSS OF ACCESS, OR COST OF SUBSTITUTE GOODS OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDATION'S TOTAL LIABILITY UNDER THIS WARRANTY WILL NOT EXCEED THE AMOUNT PAID FOR THE COVERED PRODUCT GIVING RISE TO THE CLAIM.
These limitations apply even if a remedy fails of its essential purpose.
8. Legal Rights
This Warranty gives you specific legal rights, and you may also have other rights that vary by jurisdiction. Nothing in this Warranty limits any non-waivable rights you may have under applicable law.
9. Governing Law and Disputes
This Warranty is governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Disputes relating to this Warranty are subject to the dispute-resolution provisions in the Foundation Terms of Service unless applicable law requires otherwise.
